This is relevant to all developers and vendors who have already developed the DataMem schema v3-5, or have plans to test it in preparation of the 21st April 2021 implementation date.
We have identified a need to urgently replace schema v3-5, with a replacement version v3-6.
The schema ‘CompanyIncorporation-v3-5’ will be retired on Saturday 13 February 2021.
It is imperative that for those who are already using v3-5 to undertake the upgrade to v3-6 without delay – or revert to v3-3 for the time being. Please accept the sincere apologies of Companies House for the short notice of the change.
The current schema v3-5 does not contain a statement in the data submission regarding the subscribers agreement to form a company. A new element in schema v3-6 includes this statement.
As regards the changes, a statement is required based on whether the company is limited by shares or guarantee.
The statement is required in a new common element .
New element
The new element can only have one of the following values:
- Each subscriber to this memorandum of association wishes to form a company under the Companies Act 2006 and agrees to become a member of the company and to take at least one share.
- Each subscriber to this memorandum of association wishes to form a company under the Companies Act 2006 and agrees to become a member of the company.
A company having a share capital
A new element containing the appropriate statement, based on company type, will be required in the subscribers section.
A company not having a share capital
A new element containing the appropriate statement, based on company type, will be required in the guarantors section.
Validation
Each submission will be validated to ensure the correct statement is used for the company type being submitted.
