Economic Crime and Corporate Transparency Bill - Release of Schemas

I confirm that the schemas have now been published and apologise for the delay in making these available. The relevant link is as follows:

We’re aiming to publish examples of the new schemas in two weeks’ time.

The live implementation of the schemas is dependent on the legislation receiving Royal Assent – with the schemas becoming live approximately two months after Royal Assent.

Until recently, Royal Assent was expected to happen in mid-July 2023, with the new schemas being implemented in mid-September 2023.

Royal Assent in July is looking increasingly unlikely, but we won’t know for certain until late June.
We are now working to an autumn date for Royal Assent, but there’s still a chance it could be earlier.

If Royal Assent is moved to September 2023, then implementation of the new schemas would be in November 2023.

We will keep you informed of the situation over the coming weeks.


PO Box

Once the new changes are implemented, PO Box will no longer be permitted for use within the registered office address. It will still be permitted in the service address for a person director and PSC. And still permitted in the address for a corporate director and RLE / ORP PSC types.

The PO Box element is removed from the registered office address section of the incorporation and change of registered office address transactions.

The XML Gateway will validate to check and prevent the presence of a PO Box within other registered office address fields.


Confirmation statement schema

The confirmation statement schema used is dependent on the made up to date (MUD) of the confirmation statement.

For example, if the MUD is prior to the implementation date of the new requirements, then the current live version should still be used.

If the MUD is on or after the implementation date of the new requirements, then the new version of the schema should be used.


LLP versions of the schemas

There is still uncertainty over whether the new changes will apply equally to LLP versions of these transactions at the date of implementation – even if there is a further delay to the implementation.

Depending on whether LLPs are implemented at the same time, will determine whether LLPs will need to adopt the new schema versions.

If LLP are not implemented at the same time, they will remain on the current version of the schemas.
If this is the case, there will be gateway validation to prevent LLP using the new schemas, and similar validation preventing limited companies using the current version of the schemas.

As noted above, we’re aiming to publish examples of the new schemas in two weeks’ time.
