Up until now, we’ve been advising that directors who are also People with Significant Control (PSCs) would be able to provide their verification details at the same time as filing their company’s confirmation statement. That is still the case for most companies. However, there is a small but important timing difference for some companies.
What this means
Companies have 14 days after the end of their review period to file their confirmation statement. For director PSCs, by law, their appointed day for PSC verification will fall the day after the end of the relevant confirmation statement review period.
We know around 20% of companies file on the date of the confirmation statement date, rather than during the filing period. This means that if a company files its confirmation statement before the 14-day filing window opens, for example on the final day of the review period, it will not have the option to provide the PSC verification details at the same time as the directors. Unfortunately, the PSC verification details would need to be submitted on the following day, when the 14-day filing window begins.
For example:
If a company’s confirmation statement review period ends on 31 December 2025 and they file on that date:
- all existing directors would provide their ID verification as part of that confirmation statement filing
- if those directors are also PSCs of the same company, they would need to wait until 1 January 2026 (the day after the review period ends) to provide their PSC verification, outside of the confirmation statement transaction
- the verification due dates will be visible on the public register from 18 November
We understand that this is unnecessary duplication for companies and so we are encouraging companies to wait until the day after the confirmation statement date to avoid this problem.
In the example above, this would mean the act of filing both the confirmation statement dated 31 December 2025 and PSC verification statement would happen on 1 January 2026.
To help companies understand their verification due dates for directors and PSCs, we will publish them on the Companies House register. Companies will be able to check when each verification is required.
This only affects existing PSCs who are also a director of the same company.
